Terms of Service
1. Acceptance
By creating an account, accessing Takeoff Suite, or using the service, you agree to these Terms of Service and any policies referenced here, including the Privacy Policy.
2. The service
Takeoff Suite provides a web-based workspace for construction teams to upload plans, organize project data, calibrate drawings, measure work, and manage digital takeoff information.
3. Accounts and workspace responsibility
- You must provide accurate signup information and keep it current.
- You are responsible for activity under your account and for keeping login credentials secure.
- You must ensure that users invited into your workspace are authorized to access the uploaded project information.
4. Acceptable use
- You may not use the service for unlawful, fraudulent, abusive, or unauthorized activity.
- You may not attempt to disrupt, probe, reverse engineer, or bypass the service or its security controls.
- You may not upload content that you do not have the right to use or share.
5. Customer content
You retain ownership of plans, measurements, notes, and other material you upload or create in Takeoff Suite. You grant Takeoff Suite the limited rights needed to host, process, secure, back up, and display that content for the purpose of operating the service.
6. Availability, changes, and billing
Takeoff Suite may evolve over time. Features may be improved, changed, or removed, and service availability may vary due to maintenance, updates, or events outside reasonable control. Takeoff Suite reserves the right to modify, suspend, or discontinue any part of the service at any time without prior notice or liability.
Billing terms, subscription pricing, plan structures, and payment requirements may be updated by Takeoff Suite at any time without prior notice. Continued use of the service following any such change constitutes your acceptance of the updated billing terms. You are responsible for reviewing current pricing and billing information before each billing period.
If a paid subscription is canceled, whether immediately or at the end of the current billing period, then when that cancellation takes effect Takeoff Suite may permanently delete the affected account's workspace data, including but not limited to projects, plans, layers, saved measurements, source-file access history, and uploaded source files. Once deleted, that data may not be recoverable.
7. Disclaimer and limitation of liability
Takeoff Suite is provided on an "as is" and "as available" basis without warranty of any kind, express or implied, to the maximum extent permitted by applicable law. Takeoff Suite expressly disclaims all warranties including, without limitation, implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
Users remain solely responsible for reviewing all takeoff outputs, validating project assumptions, and verifying the accuracy of uploaded plans and measurements before relying on them for any purpose, including but not limited to tendering, procurement, construction, or financial decisions.
Takeoff Suite makes no representations or guarantees that measurement outputs, quantity calculations, or any data generated by the service are accurate, complete, or error-free. No measurement, calculation, or output produced by the service should be relied upon without independent verification by a qualified professional. Takeoff Suite shall not be liable for any losses, costs, damages, claims, or liabilities of any kind — whether direct, indirect, incidental, consequential, or otherwise — arising from inaccurate measurements, calculation errors, software bugs, program defects, or any other flaw in the service, regardless of whether Takeoff Suite was advised of the possibility of such loss or damage.
To the maximum extent permitted by applicable law, Takeoff Suite and its directors, employees, agents, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, contracts, data, or business opportunity, arising out of or in connection with your use of or inability to use the service, even if Takeoff Suite has been advised of the possibility of such damages. In no event shall Takeoff Suite’s total cumulative liability to you exceed the greater of the total fees paid by you to Takeoff Suite in the twelve (12) months immediately preceding the claim, or one hundred dollars (USD $100).
You use Takeoff Suite entirely at your own risk. While Takeoff Suite will endeavour to maintain the reliability and accuracy of the service, no guarantee is made that the service will be free from errors, interruptions, or defects at any time.
8. Suspension and termination
Takeoff Suite may suspend or terminate access where necessary to protect the service, investigate misuse, respond to legal requirements, or address material breaches of these terms.
You may also delete your profile, subject to the account structure and controls available in the product at that time. Deleting a profile permanently removes that login. If deleting a profile also results in deletion of an associated account, whether because you choose that outcome or because the account cannot continue without that profile, then Takeoff Suite may permanently delete that account's data, including but not limited to projects, plans, layers, saved measurements, source-file access history, and uploaded source files. Once deleted, that data may not be recoverable.
9. Changes to these terms
Takeoff Suite reserves the right to update or modify these Terms of Service at any time, with or without prior notice. Updated terms will be effective immediately upon being posted. Your continued use of the service following any update constitutes your acceptance of the revised terms. It is your responsibility to review these terms periodically. Where changes are material, Takeoff Suite may, at its discretion, request renewed acceptance before continued use of the service.
